This Website is a Web-based service that enables organizations to upload, store and manage customer and member lists, create and send email campaigns to those lists, track and archive the results of those campaigns, create advocacy landing pages to communicate with members of society, and enable individuals to communicate to members of society. Ujoin and its related services are provided to you, the Customer, by us, Ujoin Inc., the company that owns and operates the Ujoin, and your use of the Website shall be pursuant to the terms and conditions set forth in these terms of use (the "Agreement").

By opening a ujoin.co account, and using Ujoin, you agree to abide by the terms set forth in this Agreement. You covenant that (a) you are at least eighteen years of age, (b) you are able to sign legally binding contracts on behalf of your company, and (c) you are representing yourself and your company honestly to your email recipients and to us. You also agree to maintain current information about yourself and your company, and to update that information as it changes.

Ujoin owns all logos, graphics, software, algorithms, functionality, content (other than content owned by you or any third party), pages, features and processes that comprise Ujoin. You agree not to copy, modify, re-package, reverse-engineer, disassemble, modify or otherwise use the Ujoin or its components in ways not explicitly allowed by this Agreement, without prior written consent from us. You also agree not to remove any proprietary notices or labels from Ujoin.

Connection Requirements – You are responsible for providing and maintaining, at your own risk, option and expense, any hardware, software and communication lines required to access and use this Website, and Ujoin reserves the right to change the access configuration of this Website at any time without prior notice.

Governing Law; Jurisdiction; Venue; Severability of Provisions – The Terms of Use are governed by the laws of the State of Kentucky, USA and controlling United States Federal Law without regard to any conflicts of law provisions. All parts of these Terms of Use apply to the maximum extent permitted by law. We both agree that if we cannot enforce a part of this contract as written, then that part will be replaced with terms that most closely match the intent of the part we cannot enforce to the extent permitted by law. No Agency Relationship – Neither these Terms of Use, nor any Content, materials, features, or Products and Services of this Website create any partnership, joint venture, employment, or other agency relationship between us. You may not enter into any contract on our behalf or bind us in any way.

Remedies – You agree that any violation, or threatened violation, by you of these Terms of Use constitutes an unlawful and unfair business practice that will cause us irreparable and unquantifiable harm. You also agree that monetary damages would be inadequate for such harm and consent to our obtaining any injunctive or equitable relief that we deem necessary or appropriate. Renewal – When the current term of the current Agreement expires, this Agreement shall be renewed for a successive term equal to the previously paid term as of the day following such expiration, unless, during the period beginning ninety (90) days prior to such day, either you or Ujoin shall have given notice to the other that this Agreement will not be renewed. The Customer understands that non-renewal notifications must include correspondences from both parties if the non-renewal is to be binding. Ujoin must provide sufficient communication channels for the Customer to communicate a notification of non-renewal. If this Agreement is renewed, the new Agreement shall be identical to this Agreement (except insofar as the you and Ujoin may otherwise agree in writing) except that the date of the new Agreement shall be as of the day following the expiration of the current term of this Agreement or any subsequent term. Both parties understand and agree that if a separate Agreement was signed by the Customer, the signed Agreement shall supersede the terms described on the website at Ujoin.co.
